1. Agreement

These Terms of Service (“Terms”) constitute a binding agreement between you (or the organization you represent) and Taqql, Inc. (“Taqql”) governing your use of the Taqql platform, including the web application, mobile applications, MCP API, and this marketing website (collectively, the “Services”).

By creating an account, joining the Beta waitlist, or otherwise accessing the Services, you accept these Terms.

2. Alpha and Beta status

The Taqql platform is currently in Alpha. During Alpha:

  • The platform is not open for general sign-up.
  • No warranties of any kind are provided for Alpha-stage software.
  • Features, interfaces, and APIs may change without notice.

When the platform moves to Beta, selected customers will receive free access for the duration of the Beta period. Beta usage is subject to these Terms and any additional terms communicated at Beta onboarding.

3. Eligibility

You must be at least 18 years old and authorized to bind the organization you represent to these Terms.

4. Account responsibilities

You are responsible for:

  • Maintaining the confidentiality of your credentials.
  • All activity that occurs under your account.
  • Promptly notifying Taqql of any unauthorized access at security@taqql.io.
  • Ensuring your users comply with these Terms.

5. Acceptable use

Your use of the Services is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference.

6. Intellectual property

  • Taqql IP: All software, trademarks, content, and designs in the Services are owned by Taqql or its licensors. No license to Taqql’s IP is granted except as necessary to use the Services.
  • Your data: You retain all rights to data you input into the Services. You grant Taqql a limited license to process that data solely to provide and improve the Services.
  • Feedback: If you submit feedback or suggestions, you grant Taqql a royalty-free, perpetual, worldwide license to use them without obligation to you.

7. Privacy

Our collection and use of personal information is governed by our Privacy Policy, incorporated here by reference.

8. Third-party integrations

The Services integrate with third-party platforms (e.g., Digits, ADP). Your use of those services is subject to their respective terms. Taqql is not responsible for third-party services.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TAQQL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

This disclaimer applies with particular force during Alpha and Beta.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TAQQL’S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICES IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID TAQQL IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

IN NO EVENT WILL TAQQL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify and hold harmless Taqql and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or misuse of the Services.

12. Termination

Taqql may suspend or terminate your access at any time for violation of these Terms or for any other reason with reasonable notice. You may close your account by contacting hello@taqql.io.

Upon termination, your right to use the Services ceases. Data export requests must be made before account closure.

13. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Disputes shall be resolved exclusively in the state or federal courts located in Delaware.

14. Changes to terms

We may modify these Terms from time to time. We will notify you of material changes by email or in-app notice. Continued use after the effective date constitutes acceptance.
